Terms of Service

The agreement between you and IntelliDev when you use our website, the IntelliDev app and our integrations.

About these terms

IntelliDev is a product of Abstrabit Technologies Pvt. Ltd. These Terms of Service (the “Terms”) are an agreement between you and Abstrabit Technologies Pvt. Ltd. (“IntelliDev”, “we”, “us”). They cover our website at intellidev.ai, the IntelliDev app at app.intellidev.ai, and the IntelliDev apps and integrations for Google Workspace, Slack, GitHub, Figma and Vercel (together, the “Service”).

These Terms are also the end-user license agreement for those apps and integrations, wherever you install them from. That includes app directories and marketplaces run by Slack, Google, GitHub, Figma or Vercel. Those platforms are not parties to these Terms and are not responsible for the Service.

If you use the Service for an organisation, you accept these Terms on its behalf and confirm that you have the authority to do so. In that case, “you” means the organisation.

If you and IntelliDev have signed a separate agreement or order form, that document takes precedence where it conflicts with these Terms.

By creating an account, installing an IntelliDev integration or using the Service, you agree to these Terms and acknowledge our Privacy Policy. If you don’t agree, don’t use the Service.

Eligibility and accounts

  • You must be at least 18 years old and able to enter into a binding contract.
  • Keep your account details accurate and your sign-in credentials secure. Tell us at once if you suspect someone has used your account without permission.
  • You are responsible for everything that happens under your account. Organisation admins are responsible for the people they invite and the roles they give them.

Using the Service

While you follow these Terms and any plan you’ve paid for, we give you a limited, non-exclusive, non-transferable and revocable right to use the Service for your internal business purposes.

We keep improving the Service and may add, change or remove features. If a change significantly reduces what a paid plan includes, we will tell you in advance.

Pilots, trials, previews and beta features are provided as they are. They may change or end at any time.

Your content

“Your content” means:

  • the data you or your organisation connect to the Service, such as messages, documents, code and designs
  • anything you create in it
  • the output the Service produces for you

You keep all rights to your content.

You give us a worldwide, non-exclusive license to host, copy, process, transmit and display your content, only as needed to provide, secure and support the Service for you. We handle your content as our Privacy Policy describes. We don’t sell it, and we don’t use it to train AI models.

You confirm that you have the rights and permissions to connect and use your content with the Service. That includes any consent your colleagues, customers or other people must give where the law requires it.

Connected services

The Service works with services run by other companies, such as Google, Slack, GitHub, Figma, Vercel, and AI providers like Anthropic and OpenAI.

  • When you connect one of them, you authorise IntelliDev to access and act in it within the permissions you approve. You can remove that access at any time.
  • Your use of those services is governed by their own terms and privacy policies. We aren’t responsible for them, or for changes they make that affect the Service.
  • If you run agents on your own Claude Code, Codex or OpenCode subscription, you must follow that provider’s terms, and you pay its fees.
  • We may stop supporting an integration if the provider changes or withdraws its service.

AI features

The Service uses AI to propose records, answer questions, write code and take other actions you set up.

  • Output can be wrong. AI output can be inaccurate, incomplete or unsuitable for your purpose. Review it before you rely on it.
  • You decide what ships. You are responsible for reviewing and approving tasks, records, pull requests and deployments before you accept, merge or release them.
  • Don’t use it for consequential decisions. Don’t use AI output to make legal, medical, financial or similarly significant decisions about people without review by a qualified person.
  • Who owns the output. As between you and us, you own the output the Service produces for you, to the extent the law allows. Similar output may be produced for other customers.

Acceptable use

You agree not to:

  • break the law, or infringe or misuse anyone else’s rights, including privacy and intellectual property rights
  • connect data you don’t have the right to use, or collect sensitive personal information, such as health or financial details, through the Service when you don’t need it
  • use the Service to build malware, attack systems, or get around security or access controls
  • use the Service to reach data that people in your organisation couldn’t otherwise see in the connected service
  • send spam, or messages people wouldn’t expect, through connected services, or impersonate anyone
  • break, overload, probe or reverse engineer the Service, except where the law allows it
  • resell or sublicense the Service, or use it to build a competing product
  • break the terms or policies of a connected service, such as the Slack API Terms of Service, the Google API Services User Data Policy, or GitHub’s, Figma’s or Vercel’s terms

Plans and fees

Paid plans are billed as set out in your order form or plan. Fees don’t include taxes, which you pay where they apply. Except where the law or your order form says otherwise, fees are non-refundable.

If a payment is overdue, we may suspend paid features after giving you notice. We tell you about price changes before they take effect, and they apply from your next billing period.

Our intellectual property

We own the Service, including its software, design and branding, and all intellectual property rights in it. These Terms don’t give you any rights in the Service other than the right to use it described here.

If you send us feedback or suggestions, we may use them without owing you anything.

Confidentiality

Each of us may receive non-public information from the other. Each of us will use it only for the purposes of these Terms, protect it with reasonable care, and not disclose it except to people who need it and are bound to keep it confidential, or where the law requires it.

Suspension and termination

Leaving. You can stop using the Service, disconnect integrations, or close your account at any time.

Suspension. We may suspend or end your access in any of these cases:

  • you break these Terms seriously, or keep breaking them
  • your use creates a security or legal risk
  • the law requires us to

Where it’s reasonable to do so, we warn you first and give you a chance to fix the problem.

After your account closes. You have 30 days to export your content. After that we delete it, as our Privacy Policy describes. The sections on your content, intellectual property, confidentiality, disclaimers, limitation of liability, indemnity and governing law continue to apply after these Terms end.

Disclaimers

We work hard to keep the Service reliable and secure. Even so, to the extent the law allows:

  • the Service is provided “as is” and “as available”, without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose and non-infringement
  • we don’t promise that the Service will be uninterrupted or error-free, or that AI output will be accurate

Limitation of liability

To the extent the law allows:

  • neither of us is liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or data
  • our total liability arising from these Terms or the Service is limited to the greater of the amount you paid us in the 12 months before the claim and USD 100

These limits don’t apply to liability that the law doesn’t allow to be limited.

Indemnity

You agree to defend and indemnify IntelliDev against third-party claims that arise from either of these:

  • your content
  • your use of the Service in breach of these Terms or the law

This includes reasonable legal costs.

Governing law

The laws of India govern these Terms, without regard to conflict-of-law rules. The courts of India have exclusive jurisdiction over any dispute arising from these Terms or the Service. Before going to court, we both agree to try to resolve a dispute informally, starting with an email to hello@intellidev.ai.

Changes to these terms

We may update these Terms. When we do, we change the date at the top of this page. For significant changes, we tell you by email or in the app at least 15 days before they take effect. If you keep using the Service after a change takes effect, you accept the updated Terms.

General

  • These Terms, together with our Privacy Policy and any order form, are the whole agreement between us about the Service.
  • You may not transfer these Terms without our written consent. We may transfer them as part of a merger, acquisition or sale of assets.
  • If any part of these Terms can’t be enforced, the rest still applies.
  • If we don’t enforce a right, that doesn’t mean we have given it up.
  • Neither of us is responsible for delays caused by events beyond reasonable control.
